My name is Peter Rutter, and I specialize in M&A transactions. Unlike agents, I work independently, meaning you’ll only be dealing with me directly.

Establishing a connection is vital in the early stages of a potential deal. By discussing your business needs and goals, we can build a foundation for a successful partnership. If it turns out that we aren’t compatible, it’s better to know sooner rather than later.

I work with a group of experts, each with their own specialties. This network includes business strategists, M&A accountants, lawyers, fund owners, and other professionals. Together, we form a Joint Venture (JV) group tailored to your specific needs.

Initial Conversations

After signing NDAs and having a few discussions, I’ll gain a comprehensive understanding of your business and objectives. If you’re still interested and provide your basic financials, I’ll develop a proposal for further exploration.

Creating Value

Usually, founders have a very special relationship with the company they started. They may want to continue to contribute to it or ensure their employees interests are protected. Their wishes can be agreed to and built into a deal assuming they are in the best interests of the company. It is likely we will take a more dispassionate view of what needs to be done driven by shareholder value.

Growing Your Business

Our JV group aims to grow your company to make it attractive to future buyers. This involves strategic planning and leveraging the expertise of our specialists. The ultimate goal is to achieve a profitable exit strategy for all parties involved.

We, at some point in the future will want to sell our shareholding. To do this we will want to change the company in the following ways.

1.     Limited Reliance on the Owner: Your business should be able to operate independently. If the owner is critical to daily operations, it raises concerns about sustainability post-acquisition.

2.     Quality Second-Tier Management: A strong management team ensures the continuity of operations and reduces the risk associated with the owner’s departure.

3.     Documented Systems and Processes: Ideally, these should be automated. Businesses with informal or undocumented processes are harder to manage and scale.

4.     Quality Financial Reporting: Comprehensive financial reporting, including cash flow forecasts, management accounts, and KPI dashboards, is essential for assessing the business’s health and potential.

5.     Regular, Repeatable Profits: Predictable and sustainable profits are crucial. Buyers are purchasing future cash flows, and predictability reduces the acquisition risk.

Many business owners have inflated perceptions of their company’s worth, often influenced by agents. Our approach involves realistic valuations based on actual financial performance and market conditions.

For example, a company with a £2m turnover and a 15% profit margin might be valued at 2-4 times its profit. By growing several companies together, we can achieve higher multipliers, typically 3 to 6 times thereby increasing overall value.
